Referral Program Terms

These Referral Program Terms govern the Axial Wellness referral program marketed as "Refer 3. Stay Free." (the "Program"). They supplement, and are part of, the Axial Wellness Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service.
1. Who can participate
Participation is open to any Axial Wellness member with an active membership billed through Stripe on axialwellness.net. No enrollment step is required. Every member automatically receives a personal referral link, available in the Axial Wellness app on the Share Axial Wellness screen.
Participation is personal to you and is not transferable. Referral links may not be sold, auctioned, or exchanged for anything of value.
2. What counts as a qualifying active referral
A person is a qualifying active referral of yours when all of the following are true at the same time:
- They created their Axial Wellness account through your personal referral link or referral code;
- Their Axial Wellness membership is currently active, or within a billing grace period we apply;
- They have completed at least one successful membership payment that has not been refunded, reversed, or charged back;
- They are currently being charged for their membership, rather than receiving it free under this Program; and
- They are a different person from you, using a separate account and payment method.
A qualifying active referral must be a paying membership. If someone you referred reaches three qualifying active referrals of their own and their membership becomes free under this Program, they stop counting toward your three for as long as they are not being charged. If they later return to a paying membership, they count again.
This means your own free status can change because of something a person you referred did, not only because someone cancelled. Referring more than three people is the way to protect against it.
The following never count: your own accounts, duplicate or additional accounts controlled by you or by the same household payment method, accounts created to manipulate the Program, memberships that were never successfully paid, and memberships whose payment was later refunded, reversed, or charged back.
3. The benefit
While you have three (3) or more qualifying active referrals, your Axial Wellness monthly membership fee is $0. You are not charged for your membership for as long as that remains true.
There is no limit to the number of people you may refer. Referrals beyond three do not earn any additional payment, credit, or cash. They serve as a buffer: if one of your referrals cancels and you still have three or more qualifying active referrals, your membership remains free.
4. Free status is dynamic
Your status is evaluated on an ongoing basis:
- Three or more qualifying active referrals: your monthly membership fee is $0.
- Two or fewer qualifying active referrals: your regular monthly membership billing resumes at your underlying rate.
- Returning to three or more qualifying active referrals restores free status automatically. You do not need to contact us or re-enroll.
Free status is not required to be earned by the same three original people. What matters is that at least three qualifying active referrals exist at the same time.
Your count can fall below three for any of these reasons: someone you referred cancels, their payment is refunded or charged back, or their own membership becomes free under this Program.
Free status is applied to membership invoices generated while you qualify. If your referral count falls below three and an invoice is issued before you qualify again, that invoice is payable at your underlying rate. We do not retroactively refund or credit a membership period that was billed while you did not qualify.
5. Your underlying rate is preserved
Free status temporarily changes the amount charged to $0. It does not change your membership tier, your price, or your position in any Founders pricing group.
If you joined at a Founders rate and later fall below three qualifying active referrals, billing resumes at that same Founders rate, not at the then-current standard membership price. A $20 Founder returns to $20.
Founding-rate protection remains subject to the cancellation rules in our Refund Policy. Time spent at $0 under this Program does not count as a cancellation or an interruption of your membership.
6. Privacy of the people you refer
Axial Wellness shows you a count of your qualifying active referrals and nothing more. We do not show you the names, email addresses, sign-up dates, membership status, or any other personal information of the individual people who join through your link, and we do not tell you which specific person cancelled if your count decreases.
The people you refer are members in their own right, and their relationship with Axial Wellness is private to them. If you want to know whether someone you invited joined, ask them.
7. Refunds, reversals, and chargebacks
If a referred member's payment is refunded, reversed, or charged back, that person stops being a qualifying active referral from the date we process the reversal. If this brings you below three, your free status ends going forward in the normal way described in Section 4.
We do not claw back membership periods that were already provided at $0 in good faith.
8. No cash value
The Program benefit is a reduction of your own membership fee. It has no cash value, is not redeemable for cash, cannot be transferred or assigned, cannot be applied to any other person's membership, and cannot be accumulated, banked, or carried forward as a balance.
You are responsible for any taxes that may apply to you as a result of participating.
9. Abuse and fraud
We may withhold, suspend, or reverse Program benefits, and may suspend or terminate a membership, where we reasonably determine there has been abuse of the Program. This includes self-referral, fake or duplicate accounts, bulk or automated sign-ups, misrepresenting Axial Wellness in order to obtain referrals, spam, paid placement of referral links where prohibited, and any use of stolen or unauthorized payment methods.
You may not make claims about Axial Wellness that we have not published, and you may not present Axial Wellness as medical care or as a treatment for any condition when sharing your link. See our Disclaimer.
10. If your membership ends
If your own membership is cancelled or lapses, you stop participating in the Program and your referral link stops earning. The memberships of people you referred are unaffected and continue independently.
11. Changes to the Program
We may modify, suspend, or discontinue the Program, or change these Referral Program Terms, at any time. If we make a material change that reduces a benefit you are actively receiving, we will provide notice through the app or by email before it takes effect.
We may also, in the future, exclude certain membership types from the Program. Any such exclusion will be described here before it applies to you.
12. Relationship to the affiliate program
This Program is separate from any Axial Wellness affiliate, professional, or partner program. Commission-based affiliate arrangements are governed by their own agreement, and the same sign-up cannot count under both.
