Terms of Service

Welcome to Axial Wellness ("Axial Wellness," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Axial Wellness mobile application, website, content, movement programs, movements, subscriptions, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least eighteen (18) years old to create an account or use the Services. The Services are intended for adults only and are not available to anyone under 18.

By using the Services, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into these Terms; and
  • Your use of the Services does not violate any applicable laws or regulations.

If we learn that an account has been created by anyone under 18, we may suspend or terminate it and delete the associated information.

2. Not Medical Advice

Axial Wellness is a wellness and movement-based platform intended for general educational and informational purposes only.

THE SERVICES DO NOT PROVIDE:

  • Medical advice;
  • Medical diagnoses;
  • Physical therapy;
  • Chiropractic care;
  • Rehabilitation treatment;
  • Emergency medical services; or
  • Any licensed healthcare services.

Nothing contained in the Services is intended to diagnose, treat, cure, or prevent any disease or medical condition.

You should consult with a qualified physician or healthcare professional before beginning any movement or wellness program, especially if you:

  • Have chronic pain;
  • Have a spinal condition;
  • Have undergone surgery;
  • Are pregnant;
  • Have cardiovascular, neurological, or musculoskeletal conditions; or
  • Experience dizziness, numbness, weakness, or severe pain.

Do not disregard professional medical advice because of information provided through the Services.

If you believe you are experiencing a medical emergency, call 911 immediately.

Your use of the Services is also governed by our Privacy Policy and Medical Disclaimer, each incorporated herein by reference.

3. Assumption of Risk

You understand and acknowledge that participation in movement, mobility, stretching, decompression, or wellness activities involves inherent risks.

These risks may include:

  • Muscle strain;
  • Joint injury;
  • Falls;
  • Aggravation of existing conditions;
  • Temporary soreness;
  • Permanent injury;
  • Disability; or
  • Death.

You voluntarily assume all risks associated with your use of the Services.

You agree that you are solely responsible for:

  • Determining whether movements are appropriate for you;
  • Monitoring physical condition and participation; and
  • Stopping any activity that causes pain, discomfort, dizziness, or other adverse symptoms.

4. Release of Liability

To the fullest extent permitted by law, you release and discharge Axial Wellness and its owners, officers, employees, contractors, affiliates, licensors, agents, successors, and assigns from any and all claims, liabilities, damages, losses, or expenses arising out of or related to:

  • Your use of the Services;
  • Participation in movements or movement activities;
  • Injuries or medical conditions;
  • Reliance on information provided through the Services; or
  • Any interruption or error in the Services.

5. Account Registration

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and current information;
  • Maintain the security of your credentials. Sharing your account, login credentials, or movement sequences outside the Services is prohibited and may result in suspension or termination of your account;
  • Accept responsibility for activities occurring under your account; and
  • Notify us immediately of unauthorized use.

We reserve the right to suspend or terminate accounts at our sole discretion.

6. Subscriptions and Billing

Axial Wellness offers recurring subscription plans.

Subscription options may include:

  • Monthly subscriptions;
  • Annual subscriptions; and
  • Promotional or grandfathered pricing plans.

Prices are subject to change at any time for new subscribers.

Users enrolled in designated grandfathered (founder) plans may retain their pricing for as long as their subscription remains active and uninterrupted.

7. Automatic Renewal

BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE AUTOMATIC RECURRING BILLING.

Your subscription will automatically renew at the end of each billing period unless canceled prior to renewal.

You authorize us and/or our payment processors to charge your payment method for:

  • Subscription fees;
  • Applicable taxes; and
  • Any authorized charges associated with your account.

You may cancel at any time. Memberships are billed through Stripe on axialwellness.net. To cancel, email support@axialwellness.net and we will cancel your subscription. The mobile apps do not process payments, so there is no App Store or Play Store subscription to cancel.

Cancellation prevents future renewals but does not retroactively cancel already-paid billing periods.

8. Refund Policy

Axial Wellness offers a fourteen (14) day refund period for initial subscription purchases.

To request a refund, users must contact: support@axialwellness.net.

Refund requests submitted after fourteen (14) days from the initial purchase date may be denied.

We reserve the right to deny refund requests involving:

  • Abuse;
  • Fraud;
  • Repeated refund attempts; or
  • Violations of these Terms.

9. Health Information

The Services may allow users to provide general wellness, movement, pain-location, or fitness-related information.

Axial Wellness is a general wellness platform and is not a healthcare provider or a covered entity under the Health Insurance Portability and Accountability Act ("HIPAA"). Information submitted through the Services is handled in accordance with our Privacy Policy and may not receive the protections afforded to information maintained by healthcare providers under HIPAA.

10. Intellectual Property

All content and materials provided through the Services, including but not limited to:

  • Videos;
  • Movement programs;
  • Graphics;
  • Logos;
  • Software;
  • Branding;
  • Text;
  • Designs;
  • Movements; and
  • Methodologies

are owned by or licensed to Axial Wellness and are protected by intellectual property laws.

The movement sequences, movement selection methodology, organization, audiovisual presentations, and overall user experience are proprietary to Axial Wellness.

You may not:

  • Copy;
  • Reproduce;
  • Modify;
  • Distribute;
  • Share;
  • Sell;
  • Publish;
  • Reverse engineer; or
  • Commercially exploit

any portion of the Services without prior written consent.

11. Prohibited Conduct

You agree not to:

  • Use the Services unlawfully;
  • Share accounts;
  • Circumvent security features;
  • Upload malicious software;
  • Misrepresent your identity;
  • Interfere with platform operations;
  • Use automated scraping tools; or
  • Infringe upon intellectual property rights.

We reserve the right to suspend or terminate access for violations.

12. Affiliate and Referral Programs

Axial Wellness may offer referral, affiliate, discount, or promotional programs.

We reserve the right to:

  • Modify;
  • Suspend; or
  • Terminate

any referral or affiliate program at any time.

Referral rewards and discounts:

  • Have no cash value;
  • May be revoked for abuse or fraud; and
  • May be subject to additional terms.

13. Third-Party Services

The Services may integrate with third-party platforms including:

  • App distribution platforms (Apple App Store, Google Play);
  • Payment processors; or
  • Analytics providers.

Axial Wellness is not responsible for third-party services, policies, outages, or actions.

Your use of third-party services may be subject to separate agreements.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIAL WELLNESS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT; and
  • ACCURACY OR RELIABILITY OF CONTENT.

We do not guarantee:

  • Specific health outcomes;
  • Pain relief;
  • Uninterrupted access; or
  • Error-free operation.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AXIAL WELLNESS SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • LOSS OF DATA;
  • LOSS OF PROFITS;
  • PERSONAL INJURY; or
  • MEDICAL CLAIMS

arising from or related to your use of the Services.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO AXIAL WELLNESS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Axial Wellness and its affiliates from any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Services;
  • Your violation of these Terms; or
  • Your violation of any law or third-party rights.

17. Termination

We reserve the right to suspend or terminate access to the Services at any time and for any reason, including violations of these Terms.

Upon termination:

  • Your access rights cease immediately; and
  • Certain provisions of these Terms survive termination.

18. Modifications to Services

We may modify, suspend, discontinue, or update any portion of the Services at any time without liability.

We may also revise these Terms periodically.

Continued use after updated Terms are posted constitutes acceptance of the revised Terms.

19. Force Majeure

Axial Wellness is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or the failure of third-party service providers.

20. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including by email and through in-app notices. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

21. Governing Law

These Terms shall be governed by and construed under the laws of the State of Arizona, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Arizona, and you consent to the jurisdiction of such courts.

22. International Users

The Services are controlled and operated from the United States.

If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

24. Entire Agreement

These Terms constitute the entire agreement between you and Axial Wellness regarding the Services and supersede prior agreements or understandings.

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
